Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the PickUp2 platform, operated by PIKAP2 EOOD ("PickUp2", "we", "us", or "our"), including our website (pickup2.com), web application (dashboard), and mobile applications (collectively, the "Platform"). By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services. Last updated: March 2026.

1.2 Platform Description

PickUp2 is a digital freight logistics platform that connects Shippers (businesses needing cargo transported), Carriers (transport companies with vehicles), and Forwarders (logistics intermediaries). The Platform facilitates: (a) Publishing and searching freight orders and fleet offers; (b) Secure communication between parties via integrated chat; (c) Price negotiation and offer management; (d) Company verification and trust building through ratings; (e) Fleet and vehicle management; (f) Document management for compliance; (g) Multilingual content translation. IMPORTANT: PickUp2 is a marketplace platform only. We do not provide transportation, warehousing, customs clearance, or logistics services directly. All such services are provided by registered users (Carriers, Forwarders, Shippers) under their own licenses, insurance, and terms. PickUp2 is not a party to any transportation contract between users.

2. Account Registration

(1) Eligibility: To use the Platform, you must: (a) be at least 18 years old; (b) be authorized to act on behalf of a legally registered business; (c) provide accurate and complete registration information; (d) hold a valid VAT number (for EU/EEA businesses where applicable). By registering, you represent and warrant that all information provided is accurate and that you have authority to bind your company to these Terms.
(2) Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized access. We support biometric authentication (Face ID, Touch ID) on supported mobile devices. Company owners can invite employees with configurable permissions. Company owners are responsible for the actions of their employees on the Platform.

3. Company Verification Process

(1) Verification: PickUp2 offers company verification to build trust in the marketplace. Verification may include: (a) VAT number validation through VIES (EU) or UK Companies House; (b) Business registration document review; (c) Transport license verification (for Carriers); (d) Insurance certificate verification (CMR, cargo, liability insurance). Verified companies receive a verification badge visible to other users.
(2) AI-Assisted Analysis: Uploaded verification documents are analyzed using AI-assisted tools to extract and compare information. This automated analysis assists our review process but is not the sole basis for verification decisions. Our team reviews all submissions. You have the right to request human review of any automated assessment.
(3) Verification Fee: A one-time fee of EUR 1 is required to complete verification, processed via Stripe. This confirms the validity of your payment method. Required documents may include: company registration certificates, VAT certificates, transport licenses, CMR insurance, carrier/forwarder liability insurance, and professional competence certificates. Documents are stored securely and used solely for verification.

4. Platform Features and Usage Rules

(1) Freight Orders (for Shippers/Forwarders): You may publish freight orders specifying loading/unloading locations, dates, cargo details, vehicle requirements, and price. You are responsible for the accuracy of all order details including cargo weight, dimensions, and special requirements (temperature control, ADR goods).
(2) Fleet Offers (for Carriers): You may publish available transport capacity specifying vehicle type, route, dates, and pricing. Fleet offers allow Shippers and Forwarders to find available vehicles for their shipments.
(3) Chat and Negotiations: The integrated chat system enables communication between parties. Messages, files, and price offers are stored and may be used for dispute resolution. Do not share payment card details, passwords, or other sensitive credentials in chat. (4) Content Translation: User-generated content may be automatically translated using machine translation (DeepL) to support our multilingual user base. Translations are provided for convenience only and may not be fully accurate. The original-language version prevails in case of discrepancy.

5. User Obligations and Prohibited Conduct

(1) Accurate Information: All information provided must be accurate, complete, and current. This includes company details, freight order specifications, vehicle information, and pricing. Providing false or misleading information may result in account suspension or termination.
(2) Legal Compliance: You are solely responsible for ensuring your activities comply with all applicable laws, including: transport regulations, customs requirements, ADR (dangerous goods) rules, cabotage restrictions, driver hours regulations, and tax obligations. PickUp2 does not verify your regulatory compliance. (3) Prohibited Conduct: You may not: (a) use the Platform for illegal activities; (b) impersonate another person or company; (c) interfere with Platform security or operation; (d) scrape or automatically extract data; (e) circumvent access controls or usage limits; (f) harass or threaten other users; (g) transmit malware or harmful code.

6. Subscription Plans and Payment

(1) Subscription Plans: Access to certain Platform features may require a paid subscription. Current plans, pricing, and features are displayed on our website. PickUp2 reserves the right to modify pricing with 30 days' notice to existing subscribers.
(2) Payment Processing: All payments are processed securely through Stripe. We accept major credit and debit cards. By providing payment information, you authorize charges for applicable fees. You agree to keep your payment information current.
(3) Billing and Invoices: Subscriptions are billed in advance. Invoices are provided via email and through your account. All prices are in EUR and exclusive of VAT, which is added according to your country of registration and applicable tax laws.

7. Ratings, Reviews, and Trust System

(1) Rating System: After completing a transaction, parties may rate each other. Ratings include an overall score (1-5 stars), comments, and payment status assessment. Ratings help build trust in the marketplace and are visible to all registered users.
(2) Rating Guidelines: Ratings must be honest, fair, and based on actual transaction experience. You may not: (a) submit fake or misleading ratings; (b) offer incentives for positive ratings; (c) threaten negative ratings to gain advantages; (d) rate yourself or affiliated companies. Violations may result in rating removal and account penalties.
(3) Rating Disputes: You may respond to ratings received. PickUp2 may remove ratings that violate our guidelines but does not arbitrate rating disputes.

8. Liability and Disclaimers

(1) Platform Liability: PickUp2 provides the Platform "as is" and "as available." We do not guarantee uninterrupted or error-free service. We are not liable for: (a) actions, omissions, or conduct of any user; (b) quality, safety, or legality of services offered by users; (c) cargo loss, damage, or delays; (d) accuracy of information provided by users; (e) disputes between users; (f) accuracy of machine translations. Our total liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim. (2) Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, pandemics, power failures, or internet outages.
(3) User Disputes: Disputes arising from transactions between users (e.g., cargo damage, non-payment, service quality) must be resolved directly between the parties. PickUp2 may provide chat records and transaction data to assist in dispute resolution but is not obligated to mediate or arbitrate disputes.

9. Account Termination and Suspension

(1) Termination by User: You may delete your account at any time from Settings > Danger Zone. Upon deletion: (a) your access is revoked immediately; (b) a 30-day recovery grace period begins; (c) after 30 days, your data is permanently deleted as described in our Privacy Policy; (d) active subscriptions are not refunded for the remaining period.
(2) Termination by PickUp2: We may suspend or terminate your account if you: (a) breach these Terms; (b) provide false information; (c) engage in fraudulent activity; (d) fail to pay subscription fees; (e) receive multiple legitimate complaints; (f) violate applicable laws. We will notify you of the reason for termination except where prohibited by law.

10. Intellectual Property

The Platform, including its design, code, features, content, and branding, is owned by PickUp2 and protected by intellectual property laws. You may not: (a) copy, modify, or distribute any part of the Platform; (b) reverse engineer or attempt to extract source code; (c) use our trademarks without written permission; (d) scrape or automatically extract data from the Platform. User-generated content (freight orders, messages, ratings) remains your property, but you grant PickUp2 a non-exclusive, worldwide license to display, store, translate, and process it as necessary for Platform operation.

11. Data Protection and Privacy

(1) Privacy Policy: Your use of the Platform is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. Key points: we process data to provide our services; certain data is shared between users to enable the marketplace; you can manage your data, including account deletion, from your Settings; we do not sell personal data.
(2) Data Sharing: Certain data is shared between users to facilitate Platform functionality (e.g., company names, contact persons, order details, ratings). By using the Platform, you acknowledge that this data sharing is necessary for the service.

12. General Provisions

(1) Governing Law and Jurisdiction: These Terms are governed by the laws of Bulgaria. Disputes shall be subject to the exclusive jurisdiction of the courts in Bulgaria. For consumers resident in the EU/EEA, mandatory consumer protection laws of your country of residence also apply. (2) Amendments: PickUp2 may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use constitutes acceptance. If you disagree, you must stop using the Platform and terminate your account. (3) Severability: If any provision is found unenforceable, the remaining provisions remain in effect. (4) Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PickUp2.
