1.2 Service Scope

PickUp2 provides a digital platform that connects freight forwarders, carriers, and shippers, facilitating communication, order management, and collaboration in the transportation industry. PickUp2 does not directly offer transportation, warehousing, customs clearance, or other logistics services; such services are provided by the respective parties using the platform, under their own terms and responsibility.

2. Acceptance of Terms

(1) By accessing or using the services of PickUp2, you agree to comply with these terms. If you disagree with these terms, you may not use our services.
(2) PickUp2 reserves the right to amend or update these terms at any time. Changes will be communicated to customers via email or a notice on our website. Your continued use of our services after any such changes indicates your acceptance of the new terms.

3. Contractual Relationship

(1) Upon the acceptance of a service request, a binding contract is formed between PickUp2 and the customer based on the agreed service specifications, including pricing and conditions.
(2) All amendments or changes to agreements must be in writing and approved by both parties.
(3) Any third party authorized by you to use PickUp2 services must have full legal authorization. You are responsible for ensuring they comply with the terms herein.

4. Service Usage and Availability

(1) PickUp2 provides services that may include the use of online platforms for accessing freight and logistics data. The services are accessible through the PickUp2 website and related online systems.
(2) PickUp2 cannot guarantee uninterrupted service due to factors beyond our control, such as server maintenance, system upgrades, or force majeure events. PickUp2 will notify customers of any foreseeable downtime and attempt to conduct maintenance outside of business hours where possible.
(3) PickUp2 reserves the right to modify the service offerings to enhance performance or to improve system reliability.

5. User Responsibilities

(1) You are responsible for ensuring that all information provided is accurate, complete, and current. Any errors or omissions in shipment details may result in delays or additional charges.
(2) You are also responsible for ensuring that your shipments comply with all applicable regulations, including but not limited to transportation, safety, customs, and trade compliance laws. Prohibited items will not be transported, and PickUp2 reserves the right to refuse such shipments.

6. Pricing and Payment

(1) Service Fees Service fees are outlined in individual contracts and may vary based on market conditions or specific service requirements.
(2) Payment Terms Invoices are payable within 14 days of receipt. Late payments may incur interest at 1.5% per month.
(3) Additional Costs Customers are responsible for any applicable duties, taxes, and other fees associated with transportation and customs clearance.

7. Liability and Limitations

(1) Liability for Damages PickUp2's liability for loss or damage is limited to the actual value of the goods or as outlined in international agreements, such as the Convention on the Contract for the International Carriage of Goods by Road (CMR). PickUp2 is not liable for indirect or consequential damages.
(2) Insurance Insurance coverage for goods in transit is not automatically provided by PickUp2 unless specifically agreed upon in writing.
(3) Force Majeure PickUp2 is not liable for any failure or delay in performance due to causes beyond its reasonable control, such as natural disasters, strikes, or governmental actions.

8. Claims and Dispute Resolution

(1) Claims Any claims for loss, damage, or delays must be submitted in writing within 14 days of the event or delivery date. Claims not submitted within this period may not be honored.
(2) Dispute Resolution Any disputes arising out of or in connection with these terms will first be attempted to be resolved amicably. If resolution is not possible, the dispute will be referred to the courts in Bulgaria under Bulgarian law.

9. Termination

(1) PickUp2 reserves the right to terminate the service agreement if the customer breaches these terms, fails to make payments, or engages in unlawful activities.
(2) Either party may terminate the service agreement by providing 14 days' written notice before the termination date.

10. Governing Law

These terms are governed by the laws of Bulgaria. Any disputes will be resolved in the courts of Bulgaria.

11. Data Protection

(1) PickUp2 respects your privacy and is committed to protecting your personal data. Please refer to our Privacy Policy for details on how we handle your information.
(2) Any personal data collected will be used solely for the purposes of fulfilling the contractual obligations between PickUp2 and its customers.

12. Final Provisions

(1) If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
(2) These terms and conditions constitute the entire agreement between you and PickUp2 with respect to the services provided.
